1. Acceptance of Terms

These terms apply from the moment a person accesses a page of the website or sends an enquiry to the Company. Reading the published material is covered by the website provisions, while engaging the Company for comparison work brings the service provisions into effect. Acceptance may be given by email confirmation of a scope note, by signature of an engagement agreement or by conduct that clearly indicates an intention to proceed with the work.

A person who accepts these terms on behalf of an organisation confirms that they hold authority to bind that organisation. If authority is later questioned, the organisation that received the benefit of the work remains responsible for the fees and obligations described in these terms. The Company may request written confirmation of authority before beginning an engagement.

These terms are available in English only. The Company does not warrant that the website or the services comply with the law of every country, and a client who accesses the service from outside the United States does so on the basis that local requirements have been considered by that client.

2. Services Provided

The Company provides comparison services within computer integrated systems design and related professional, scientific and technical services. The published service lines are Plan Weigh-up Bays, Rate Card Runs, Switch Guide Desks, Term Compare Windows, Renewal Savings Reviews and Exit Fee Audits. Each service is described on the services page and in the scope note issued for a specific engagement.

The Company is a comparison practice. It is not a software vendor, not a reseller and not an agent for any platform. The Company holds no commission arrangement with a vendor, so a recommendation carries no hidden payment. The client remains free to accept, reject or negotiate every finding, and the final purchasing decision always rests with the client.

The Company may decline an engagement where a conflict of interest exists, where the request falls outside the competence of the practice or where the client does not provide the information needed for a fair comparison. A decision to decline will be explained briefly and without prejudice to any future request.

The website is provided as an information resource. Nothing published on the website constitutes legal advice, tax advice, financial advice or a binding offer to supply a service on particular terms. A service is supplied only under a scope note or a signed engagement agreement.

3. Engagement Scope and Changes

Every engagement begins with a scope note that identifies the decision to be supported, the systems and contracts to be examined, the deliverables to be produced and the fee to be charged. The scope note also records the information the client will supply and the date by which delivery is expected. Work outside the scope note is not included in the fixed fee.

A change to the scope may be requested by either party. The Company will assess the effect of the change on the timetable and the fee and will issue a revised scope note before any additional work begins. Work already performed under the original scope remains payable. The Company will not undertake additional work without written agreement, which protects the client from an unexpected invoice.

Where the client supplies new contracts or a new candidate platform after the analysis has started, the Company will explain whether the addition can be absorbed within the original scope or requires a revision. The Company will not silently expand a deliverable, and it will not deliver less than the scope note describes without the written agreement of the client.

4. Client Responsibilities

The client is responsible for supplying complete and accurate information within the agreed timetable. This includes quotes, order forms, renewal letters, integration diagrams and usage exports. The Company relies on the figures supplied and cannot verify the accuracy of a vendor report that the client has not obtained. A delay in supplying information may move the delivery date, and the Company will confirm any revised date in writing.

The client confirms that it has the right to share the documents provided to the Company and that doing so does not breach a confidentiality obligation owed to a third party. Where a document is subject to a restriction, the client should provide an extract or obtain permission before sharing. The Company will accommodate a restricted format whenever the comparison can be performed from the extract.

The client is responsible for the internal decision that follows a comparison. The Company supplies evidence, analysis and a recommendation, but the client decides whether to sign a contract. The client should obtain its own legal and tax advice on the effect of a contract, because the Company does not provide legal or tax advice and does not review corporate authority to sign.

The client should nominate a single contact with authority to approve the scope and to answer questions during the engagement. A clear contact reduces delay and prevents conflicting instructions from different parts of the organisation. The Company will direct all substantive communication through the nominated contact.

5. Fees and Invoicing

Comparison services are offered on a fixed fee basis wherever possible. The fee is stated in the scope note before work begins and does not change unless the scope is revised in writing. The fixed fee covers the analysis, the written paper, one findings call and one round of written questions answered after delivery.

Additional items, such as a switch guide, an extended negotiation brief or attendance at a client meeting beyond the findings call, are quoted separately. The Company will not add a charge without a prior written quote accepted by the client. Expenses are not normally charged, but a necessary travel cost will be agreed in advance and itemised on the invoice.

Fees are exclusive of any sales tax, value added tax or similar charge that applies by law. Where the Company is required to collect such a charge, it will appear as a separate line on the invoice. The client is responsible for any withholding required in its own jurisdiction and should tell the Company before payment so that the documentation can be prepared correctly.

The Company does not base its fee on the amount saved by the client. A success fee would create an incentive to overstate a saving, and the practice prefers a fee that is independent of the outcome. The fixed fee makes the cost predictable and keeps the analysis honest.

6. Payment Terms

Invoices are issued on the date stated in the scope note, usually at the start of an engagement or on delivery of the paper. Payment is due within thirty days of the invoice date unless the scope note states otherwise. Payment should be made by the method shown on the invoice, and the client should quote the invoice number so that the payment is allocated correctly.

Where a payment is late, the Company may charge interest at the rate permitted by applicable law from the due date until payment is received. The Company would rather agree a payment plan than pursue an interest charge, so a client facing a cash flow difficulty should contact notify@brighteralt.lol early. A reasonable plan proposed in good faith will be considered.

The Company may suspend work on an engagement while an invoice remains unpaid after a reminder. Work will resume when the account is settled or when an agreed plan is in place. The Company will not withhold a delivered paper merely because a later, unrelated invoice is outstanding.

Payments are made in United States dollars unless the invoice states another currency. Bank charges incurred in sending a payment are the responsibility of the client, and the Company should receive the invoiced amount in full. A receipt will be issued for every payment received.

7. Deliverables and Ownership

The Company produces written deliverables such as a comparison paper, a rate card worksheet, a term matrix, a switch guide or a negotiation brief. On full payment of the fee, the client owns the delivered document and may use it for its internal business purposes, including sharing it with advisers and with a vendor as part of a negotiation.

The Company retains ownership of its underlying methods, templates, scoring models and working notes. Those materials do not form part of the delivered document and are not transferred to the client. Where a client wishes to reuse a Company template independently, a separate licence can be agreed in writing.

The client may not resell a deliverable, publish it as its own work or present it as general advice to other organisations. A deliverable is prepared for a specific client and a specific decision, and it may not be appropriate for a different situation. The Company accepts no responsibility for use of a deliverable outside the intended context.

Unless the client objects in writing, the Company may describe the type of engagement performed in a generic way, for example a renewal review for a professional services firm. The Company will not name the client without written permission and will remove any identifying detail that could reveal the client by inference.

8. Reliance and Professional Limits

The comparison papers are prepared for the client named in the scope note. A third party may not rely on a deliverable without the written consent of the Company. Where a client shares a deliverable with an adviser, the adviser should understand that the paper addresses the client specific assumptions recorded in the file and not a general market view.

The Company bases its analysis on documents and figures supplied by the client and on publicly available vendor information at the date of the engagement. Vendor terms change, and a rate card published after the analysis may differ from the version used. The client should confirm current pricing before signing a contract, and the Company will re-run a section of the analysis if a vendor issues a new price list within the engagement period.

The Company does not guarantee that a comparison will produce a saving. A fair comparison may show that the current arrangement is already competitive, and the Company will say so plainly. A recommendation against switching is a valid outcome and is delivered with the same care as a recommendation to move.

The Company does not provide legal interpretation of a contract, tax treatment of a fee, accounting classification of a software cost or regulatory approval for a technology. Those matters require the client own professional advisers. The Company can identify where an adviser should be consulted and can supply the relevant extract to support the consultation.

9. Confidentiality

Each party agrees to keep the confidential information of the other party secure and to use it only for the purpose of the engagement. Confidential information includes contract terms, pricing, usage data, internal processes and any material marked as confidential. The obligation does not apply to information that is already public, that is independently developed without reference to the confidential material or that is required to be disclosed by law.

Where disclosure is required by law, the party subject to the requirement should give the other party prompt notice where lawful, so that protective steps can be considered. The disclosing party will limit the disclosure to the portion required and will seek confidential treatment where the process allows it.

The obligation of confidentiality continues for five years after the engagement ends. Information that constitutes a trade secret continues to be protected for as long as it remains a trade secret. The Company keeps client files in restricted folders and applies the security measures described in the privacy policy published on the website.

The Company may disclose client information to a service provider that supports the engagement, such as a secure file storage provider or a backup service. Such providers are bound by contract to protect the information and to act only on the instructions of the Company. A list of providers is available on request.

10. Third Party Vendors

The Company does not control any software vendor and makes no representation about the performance, availability or security of a vendor product. Information about a vendor is taken from documents and public sources and is reported in good faith. A vendor may change its terms, its roadmap or its support model after the comparison is delivered.

The client contracts directly with the vendor. The Company is not a party to that contract and accepts no responsibility for the vendor performance, billing or data handling. If the client asks the Company to attend a negotiation meeting, the Company will do so as an adviser to the client and not as a representative of the vendor.

Where the Company communicates with a vendor on behalf of the client, it does so only with written authorisation and within the limits described in the authorisation. The Company will not sign a document on behalf of the client, will not accept terms on behalf of the client and will not agree a commercial commitment without a separate written instruction.

A link from the Company website to a vendor site is provided for convenience. The Company does not endorse the vendor and does not review the content of the linked site. A visitor who follows a link leaves the Company website and becomes subject to the terms and privacy policy of the destination site.

11. Acceptable Website Use

A visitor may read, print and share the public pages of the website for personal or internal business reference. A visitor may not copy the content into a competing publication, scrape the site at a volume that affects availability, attempt to gain unauthorised access to a system or use the site to distribute malicious code. The Company monitors the site for abuse and will act on a material breach.

The contact form is provided for genuine enquiries about the services. A visitor should not submit unsolicited advertising, automated messages or content that is unlawful, defamatory or infringing. The Company may ignore or block a message that does not relate to its work, and may report a serious abuse to the relevant authority.

The website is provided on an as available basis. The Company may take the site offline for maintenance or for a technical reason without notice. The Company will restore the site as soon as practicable and will ensure that the legal pages remain available in a readable form.

A visitor is responsible for the security of their own device and network. The Company is not responsible for a loss caused by a virus, a network fault or a configuration error outside its control. A visitor should keep a current browser and should verify the address of the site before entering any information.

12. Intellectual Property

The text, layout, styling, code and graphical devices of the website belong to the Company and its licensors. The balance scale motif, the service descriptions and the written content are protected by copyright. A visitor may not reproduce a substantial part of the site without written permission, except where the law permits quotation for review or commentary with attribution.

The Company name, the trading name and any associated marks belong to the Company. A person may not use a mark in a way that suggests a partnership, endorsement or affiliation that does not exist. A request to use a mark for a legitimate purpose, such as a client reference, should be sent to the Company in writing.

Client material remains the property of the client. The Company uses client material only to perform the engagement and does not acquire any right in it beyond the limited licence needed for the work. When the engagement ends, the Company returns or deletes client material according to the retention policy described in the privacy policy.

Any feedback or suggestion provided to the Company about the website or the services may be used by the Company without obligation to the person who provided it. The Company will not use a suggestion in a way that reveals the identity of the person without permission.

13. Warranties and Disclaimers

The Company warrants that the services will be performed with reasonable skill and care by competent personnel. The Company warrants that it has the right to supply the services and that it will comply with the law applicable to its own business. These are the only warranties given, and they replace any other warranty, condition or representation that might otherwise apply.

The website content is provided for general information and may be incomplete or out of date. The Company does not warrant that every page is free of error or that a description of a service matches the final scope note for a particular engagement. The scope note and the engagement agreement are the authoritative description of the work to be done.

The Company does not warrant that a comparison will be free of a difference of professional opinion. A different adviser might reach a different conclusion on the same facts. The Company records its reasoning and its assumptions so that the client can see how the conclusion was reached and can challenge any part of it.

To the extent permitted by law, all implied terms are excluded. Some jurisdictions do not allow the exclusion of certain implied terms, and in those jurisdictions the exclusion applies only to the extent that the law allows. Nothing in these terms limits a right that cannot lawfully be limited.

14. Limitation of Liability

The total liability of the Company arising from an engagement is limited to the fee paid by the client for that engagement. Where the engagement has not been paid, the limit is the fee stated in the scope note. This limit applies to all claims arising from the engagement, whether in contract, in tort or under statute, and whether the claim arises during the engagement or afterwards.

The Company is not liable for indirect or consequential loss, including loss of profit, loss of anticipated saving, loss of business opportunity or loss of goodwill. The Company is not liable for a loss caused by a decision that the client made against a written recommendation, because the client retains the final decision on every contract.

The Company is not liable for a failure caused by a vendor, a network operator, a hosting provider or another party outside its reasonable control. Where a third party failure affects delivery, the Company will make reasonable efforts to continue the work and will discuss a revised timetable with the client.

Nothing in these terms limits liability for fraud, for a deliberate breach or for any matter that the law does not permit to be limited. The limits in this section are intended to be reasonable in the context of the fee charged and the scope of the work performed.

15. Indemnity

The client agrees to indemnify the Company against a claim arising from material supplied by the client that infringes the rights of a third party or that the client did not have authority to share. The indemnity covers the reasonable cost of defending the claim and any settlement approved in advance by the client. It does not apply where the Company contributed to the claim through its own negligence.

The Company agrees to indemnify the client against a claim that a deliverable produced by the Company infringes the intellectual property of a third party, provided the client used the deliverable within the scope of these terms. The indemnity covers the reasonable cost of defending the claim and any settlement approved in advance by the Company.

A party seeking indemnity must notify the other party promptly, must allow the other party to manage the defence and must cooperate in good faith. A failure to notify promptly reduces the indemnity to the extent that the delay caused prejudice. Neither party may settle a claim in a way that admits fault on the part of the other without written consent.

16. Termination

Either party may end an engagement by written notice where the other party commits a material breach and does not remedy it within fifteen days of a written request. The Company may end an engagement immediately where continuing the work would require an unlawful act or would create an unresolvable conflict of interest. A client may end an engagement at any time by written notice.

Where a client ends an engagement before delivery, the Company is entitled to payment for the work performed up to the date of termination. The Company will provide an itemised statement of the work completed and of any cost already incurred. Work that has not started is not charged.

Where the Company ends an engagement for a reason other than a client breach, it will refund any fee paid for work not performed. Where the Company ends an engagement for a client breach, the full fee for the scope remains payable unless the Company has delivered nothing, in which case a reasonable portion is refunded.

On termination, the confidentiality, intellectual property, liability and dispute provisions of these terms continue to apply. The client remains entitled to the deliverable if the fee for that deliverable has been paid. Any working material that has not been paid for is retained by the Company until the account is settled.

17. Governing Law and Disputes

These terms are governed by the law of the State of Utah, without regard to conflict of law rules. The state and federal courts located in Utah have exclusive jurisdiction over a dispute that cannot be resolved through discussion. Each party agrees to that jurisdiction and waives any objection based on an inconvenient forum.

Before beginning a formal proceeding, a party should raise the dispute in writing to the other party and allow thirty days for a good faith resolution. A meeting by telephone or video may be arranged during that period. The Company will attend such a meeting and will bring the relevant engagement records so that the facts can be examined together.

If a dispute concerns the quality of a deliverable, the Company may offer a re-run of the affected analysis as a remedy. The client is not obliged to accept the offer and retains every right that the law provides. A re-run is conducted at no additional fee when the concern relates to an error in the delivered work.

A claim relating to an engagement must be brought within the period set by applicable law. The parties agree that the retention of engagement records for seven years is reasonable for the purpose of resolving a late dispute.

18. General Provisions

These terms, together with the scope note and any signed engagement agreement, form the entire agreement between the parties on the subject matter. A prior discussion, a proposal or a marketing statement does not add to or vary the agreement unless it is recorded in writing and accepted by both parties.

A party that does not enforce a provision on one occasion does not waive the right to enforce it on another. If a provision is found to be invalid, the remaining provisions continue in effect and the invalid provision is replaced by a valid provision that reflects the original intention as closely as possible.

Neither party may assign an engagement without the written consent of the other, except to a successor in connection with a transfer of the whole business. The Company will give notice of such a transfer and will ensure that the successor is bound by the confidentiality provisions.

A notice under these terms should be sent by email to the address on the scope note or, for the Company, to notify@brighteralt.lol. A notice is treated as received on the next business day after a successful transmission. Postal notices should be sent to A Brighter Alternative UT LLC, 6975 S Union Park Ctr Ste 600, Cottonwood Heights - 84047-4187, United States (US).

The headings in these terms are for convenience only and do not affect interpretation. Words in the singular include the plural and the reverse, and a reference to a person includes an organisation. A reference to a statute includes its amendments and replacement.
